Terms and Conditions for Employers

1 Definitions
“Experts Circle”, “we”, “us” – Experts Circle Ltd (Company No. 12193805, registered in England & Wales).
“Platform” – the Experts Circle website, mobile apps and any associated services.
“Employer Account” – the master account opened for a company on the Platform.
“Employer / you” – the company or other legal entity in whose name an Employer Account is held.
“Hiring Manager” – an individual user (employee, director or authorised agent) who holds their own login under an Employer Account and manages recruitment activity on the Platform. Each Hiring Manager is a Representative for clause 3.2. Multiple Hiring Managers may be linked to the same Employer Account.
“Expert” – an independent, verified professional who sources and refers Candidates via the Platform.
“Candidate” – an individual whose details are supplied to you through the Platform.
“Engagement” – any employment, consultancy, freelance or similar arrangement (permanent or temporary) entered into with a Candidate, whether directly or via a third party.
“Start Date” – the first day on which a Candidate commences work for you.
2 Relationship & Scope
2.1 Experts Circle operates as a technology platform through which independent verified professionals (Experts) introduce Candidates to Employers on their own initiative. Experts Circle does not itself introduce Candidates to Employers, find workers employment, or find Employers workers, and does not employ Candidates.
2.2 Nothing in these Terms creates a partnership, joint venture or employment relationship between the parties.
3 Account Creation, Authority & Eligibility
3.1 You must be incorporated and lawfully entitled to hire staff in the United Kingdom.
3.2 Authority to bind: Each Hiring Manager represents and warrants that they have full authority to bind the Employer to these Terms and to any fee obligations arising from use of the Platform. Experts Circle relies on this representation.
3.3 Verification: We may request reasonable evidence of that authority (e.g., company-domain email confirmation or board resolution). If satisfactory evidence is not provided within five (5) UK business days of request, we may suspend the Employer Account until verification is complete.
3.4 At registration you must supply your registered company name, company number, trading address and a corporate-domain email (no public webmail).
4 Contact Information
All routine or legal notices to Experts Circle must be submitted via:

We will acknowledge receipt electronically within two (2) UK business days.
Notices to you will be sent to the email address recorded for your Employer Account.
5 Services We Provide
(a) job-posting tools;
(b) distribution of roles to relevant Experts;
(c) presentation of vetted Candidate profiles;
(d) Employer Dashboard workflow for shortlisting, interview scheduling, offers, hire confirmation and invoicing;
(e) invoice and payment workflow tools.
6 Fees & Invoicing
6.1 Success fee: 15 % of the Candidate’s first-year gross base salary (the “Base Rate”). We may vary the Base Rate under clause 16.
6.2 Invoice date: the Candidate’s Start Date.
6.3 Payment terms: 30 days net. Late sums accrue statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
6.4 Scarce-talent premium: where expressly flagged in advance on the Platform for a specific vacancy or skill set, an uplift may apply.
7 Early Departure — Dispute Resolution
If a Candidate's engagement concludes within a reasonable period after their Start Date and in circumstances not related to redundancy, the parties agree to discuss in good faith any appropriate remedy. No automatic entitlement to replacement or credit arises.
8 Employer Obligations
8.1 Provide accurate job specifications, salary ranges and selection criteria.
8.2 Workflow updates: Each Hiring Manager is expected to use the Employer Dashboard to record material changes to each Candidate’s status (shortlist, interview, offer, acceptance, Start Date) on a best-efforts basis, to support continuous workflow for you, us and the Experts. Experts Circle may request updates where workflow visibility is materially impaired.
8.3 Treat Candidate information as confidential and use it solely for recruitment purposes (legitimate-interest ground under UK GDPR Art 6 (1)(b)).
8.4 Non-circumvention: You will not approach or engage an Expert or Candidate introduced via the Platform other than through the Platform for 12 months after the later of (i) their introduction or (ii) the last communication relating to them. Breach triggers immediate payment of the full success fee.
9 Compliance & Ethics
You will comply with all applicable UK employment, equality, data-protection, anti-bribery and modern-slavery laws and will not request or induce discrimination.
10 Data Protection
10.1 Each party acts as an independent controller of personal data.
10.2 You will implement appropriate technical and organisational measures (UK GDPR Art 32).
10.3 If no Engagement occurs, you will delete or return Candidate data upon request.
11 Intellectual Property
All IP rights in the Platform belong to us or our licensors. You must not reverse-engineer, scrape or resell any part of it.
12 Limitation of Liability
12.1 Nothing limits liability for death, personal injury, fraud or any liability that cannot lawfully be limited.
12.2 Subject to 12.1, our aggregate liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
12.3 We are not liable for Candidate performance or for indirect, consequential or business losses.
13 Indemnity
You will indemnify and hold Experts Circle harmless from claims, costs and damages arising out of (i) your breach of these Terms, (ii) your unlawful or negligent recruitment practices, or (iii) any claim by a third party relating to your Engagement of a Candidate.
14 Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including epidemic, cyber-attack or power outage.
15 Suspension & Termination
We may suspend or terminate your Employer Account immediately if you (a) breach these Terms, (b) fail to pay an invoice, or (c) act in a way that risks our reputation. Clauses 6, 8, 9, 11-13, 17-21 survive termination.
16 Variation
We may amend these Terms on 30 days’ notice (notification via the Employer Dashboard or registered email is sufficient). Continued use after the effective date constitutes acceptance.
17 Notices
Notices required under these Terms must be delivered in accordance with section 4 (Contact Information). Service by any other method is invalid unless expressly agreed in writing.
18 Assignment
You may not assign or transfer any rights or obligations without our prior written consent. We may assign our rights in connection with a business sale or group re-organisation.
19 Third-party Rights
No person other than the parties has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
20 Entire Agreement & Severability
These Terms and any pricing plan agreed in writing form the entire agreement between the parties. If any provision is held unenforceable, the remainder will continue in full force.
21 Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. Experts Circle Ltd and you irrevocably agree that the courts of England & Wales have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.
